This End-User Licence Agreement ("Agreement") is between you and FEDDSP LTD ("fedDSP", "we", "us" or "our"), incorporated in England and Wales under company number 16604307.
Registered office: First Floor 362 Omega Court, Cemetery Road, Sheffield, South Yorkshire, England, S11 8FT.
General contact: info@feddsp.com
Technical support: support@feddsp.com
Licence administration: info@feddsp.com
Official sales, customer accounts, licence delivery and downloads are provided through https://feddsp.com.
1. Read This Agreement First
THIS IS A LEGAL AGREEMENT BETWEEN YOU AND FEDDSP.
By purchasing, downloading, installing, activating or using the Software, you confirm that you have read and accepted this Agreement. If you do not accept it, do not download, install, activate or use the Software.
If you accept this Agreement for a company or other organisation, you confirm that you have authority to bind it. References to “you” then include that organisation and the individual user where relevant.
2. Definitions
Software means fedDSP executable software, applications, audio plug-ins, modules, installers, licence files, presets, impulse responses, drum samples, other included content, updates and documentation supplied by fedDSP.
Licence means the limited right to use the Software under this Agreement. The Software itself is licensed, not sold.
Personal Licence means a named, personal, non-exclusive and non-transferable licence granted to the individual purchaser.
Device means a computer that you own or control.
Activation means authorising a Device to use the Software. Deauthorise means removing its authorisation using the licence-removal method provided in the Software or fedDSP’s instructions.
Consumer means a natural person acting wholly or mainly outside their trade, business, craft or profession.
Business Customer means any person or organisation acquiring or using the Software wholly or mainly for trade, business, craft or professional purposes.
NFR means Not for Resale. EDU means Educational.
3. Licence Grant and Permitted Production Use
Subject to this Agreement and payment of applicable fees, fedDSP grants the named individual a personal, non-exclusive licence to install and use the Software on up to three (3) Devices that individual owns or controls. Unless expressly stated otherwise when supplied, a paid Licence is perpetual, subject to termination under this Agreement. Perpetual use does not promise perpetual support, downloads, updates or compatibility with future environments.
Only the named licensee may operate the Software. A Personal Licence permits that individual to record, produce, mix, master and deliver audio for personal or commercial projects, including paid work for clients. Clients receive the audio output, not a right to use or obtain the Software or included source content.
Normal DAW automation, offline bounce, freeze, stem export and local batch processing by the named licensee on permitted Devices are allowed. This does not permit shared access or operating a hosted processing service as described in section 7.
You may make backup copies reasonably necessary for lawful use or as permitted by non-excludable law, preserving proprietary notices. An upgrade requires a valid licence for its qualifying product.
4. Temporary Use on Third-Party Machines
You must not install, activate or use the Software on a third-party, shared, studio, institutional, client, assistant or other person’s machine without prior written permission from fedDSP.
Requests must be sent to info@feddsp.com and must describe the proposed machine, location, user and purpose. Permission may be granted, refused, limited, conditioned or withdrawn at fedDSP’s reasonable discretion.
If permission is granted, you must personally operate the Software during your attended session. You must not leave it available for staff, clients, assistants, other engineers, unattended use, shared-room use, server use or remote access.
You must Deauthorise and uninstall the Software before leaving the premises after the permitted session. Failure to do both is unauthorised use.
5. Individual Purchases and Business Enquiries
Standard website purchases provide one named individual's Licence, including a sole practitioner or a studio operated by that individual. They do not provide shared, multi-seat, site, institutional or enterprise rights.
Purchases on behalf of a company or other organisation, and all B2B, multi-user or bespoke licensing requests, must be arranged in advance through info@feddsp.com. Any approved organisational purchase must identify its authorised user or users and scope in writing.
A professional individual's legal status as a Business Customer is determined by the purpose of the purchase, not the sales channel or the label Personal Licence.
6. Ownership and Intellectual Property
The Software is licensed, not sold. fedDSP and its licensors retain all copyright, database rights, trade marks, design rights, confidential information and other intellectual-property rights in and relating to the Software.
Your purchase gives you only the limited usage rights expressly stated in this Agreement. All other rights are reserved.
No provision transfers ownership of the Software, source code, binaries, installers, licence systems, branding, documentation, content or associated intellectual property to you.
7. Restrictions
You must not, directly or indirectly:
(a) copy, modify, adapt, translate, decompile, disassemble, reverse engineer, observe, study or test the Software except only to the limited extent that applicable law gives a lawful user a right that cannot be excluded by contract;
(b) crack, patch, bypass, disable, remove, defeat or attempt to defeat licensing, activation, access-control, usage-limit, watermarking or technical-protection measures;
(c) rent, lease, lend, sublicense, sell, resell, transfer, assign, gift, distribute, share, publish, upload, broadcast, communicate or otherwise make available the Software, installers, binaries, licence files, licence keys, activation data, accounts or credentials;
(d) provide, advertise or facilitate access to the Software through a website, subscription, membership, marketplace, forum, file-sharing service, cloud service, private group, social platform, messaging channel or similar service;
(e) represent that you own, control, license, resell, distribute or are authorised by fedDSP to supply the Software;
(f) remove, conceal, alter or falsify copyright notices, trade marks, ownership notices, licence identities, technical identifiers or other proprietary information;
(g) allow anyone other than the named licensee to use the Software;
(h) make the Software available through shared access, cloud or hosted plug-in services, software-as-a-service, third-party remote access or processing services that let others submit jobs to or operate the Software. The named licensee’s ordinary production work and permitted local processing under section 3 are not prohibited;
(i) split, separate, transfer or dispose of any bundle, upgrade, account, serial, licence component or activation entitlement; or
(j) use the Software for unlawful activity or in a manner that infringes another person’s rights.
8. No Transfer, Resale or Assignment by the Licensee
Except for rights that mandatory applicable law does not permit the parties to exclude, the Licence is personal and non-transferable. You must not sell, gift, sublicense, assign, split or otherwise transfer the Software, Licence, account or related rights without fedDSP’s prior written approval.
Transfer requests must be submitted to info@feddsp.com before any transfer and must follow the applicable licence-administration process. No permission to retain or use copies after an approved transfer is granted. These requirements do not restrict an applicable non-excludable statutory transfer right.
9. Official Source and Unauthorised Sellers
Official purchases, customer accounts, licence delivery and downloads are provided only through https://feddsp.com unless fedDSP expressly confirms another authorised channel in writing.
A listing, download, licence, installer or copy obtained elsewhere must not be assumed to be authorised.
fedDSP is not responsible for unauthorised, altered, cracked, infected, incomplete or counterfeit copies supplied by third parties.
10. Standards, Presets and Technical Aids
Any tools, presets, metering, processing features or guidance intended to assist with technical or industry standards are aids only.
fedDSP does not guarantee compliance with any present or future broadcaster, distributor, streaming platform, loudness, delivery or technical specification. You remain responsible for checking the requirements applicable to your work.
11. Support
fedDSP may provide email support to the original purchaser at its discretion and on a goodwill basis.
Unless mandatory law requires otherwise, support is not a guaranteed contractual service. fedDSP does not guarantee response times, resolution, compatibility outcomes, continued availability, updates or support for third-party software.
For technical support, contact support@feddsp.com. For licence administration, contact info@feddsp.com.
12. Compatibility Updates and Product Lifecycle
fedDSP may provide updates addressing security, licensing or compatibility issues, but does not guarantee updates for any fixed period, subject always to mandatory consumer rights.
Any update is provided at fedDSP’s discretion unless mandatory law requires otherwise. fedDSP does not guarantee compatibility with every host, operating system, device, driver, plug-in format or workflow, and is not required to add features, support obsolete environments or reverse changes made by third parties where doing so is technically impracticable or disproportionate.
Updates may be provided, withheld, discontinued or charged for at fedDSP’s discretion, subject always to mandatory consumer rights.
Major upgrades, new products and substantial new features may be charged separately.
13. Privacy and Licence Administration
Licences and downloads are supplied through the purchaser’s fedDSP account and related delivery communications. Internet access may be required to purchase, access the account and obtain the licence. After successful authorisation, normal Software use does not require a continuous internet connection. The Software does not transmit audio content or analytics to fedDSP.
fedDSP processes personal data for orders, account and licence administration, support, fraud prevention, security and the establishment, exercise or defence of legal claims, as explained in the Privacy Notice at https://feddsp.com/legal/privacy-policy/. That notice describes applicable purposes, legal bases, recipients, retention and data-protection rights.
You must keep your licence files and account credentials secure and must not disclose them to unauthorised persons. You are responsible for unauthorised sharing that you cause or permit. Such sharing may expose associated information and constitute a material breach; it does not remove either party’s obligations under applicable law.
fedDSP may use proportionate technical identifiers and preserve or lawfully disclose relevant evidence to advisers, courts, service providers or competent authorities where necessary for those purposes. This does not grant ownership of, or a right to use, your audio productions.
14. Revalidation, Security and Licence Administration
fedDSP may require reasonable revalidation, replacement of a licence file or related administration where necessary to address security, fraud, corruption, unauthorised distribution, suspected sharing or material breach.
Where reasonably justified by evidence, fedDSP may suspend affected credentials or account access while investigating, or terminate the affected Licence under section 23. A genuine payment dispute or lawful exercise of consumer rights is not, by itself, fraud or a material breach.
Where reasonably practicable and lawful, fedDSP will explain the reason and provide a way to contact info@feddsp.com to contest an error. fedDSP need not disclose confidential detection methods or information that would prejudice security or an investigation. Immediate action may be taken where reasonably necessary to prevent continuing harm.
15. Consumer Rights, Digital Supply and Refunds
Nothing in this Agreement excludes or restricts rights a Consumer cannot lawfully waive, including under the Consumer Rights Act 2015. Defective or misdescribed digital content may give rise to statutory remedies, including repair or replacement, a price reduction or a refund where the law provides. A corrected build, download or licence may provide an appropriate remedy.
Where a statutory cancellation period applies, immediate supply during that period requires your prior express consent and acknowledgement that you lose the cancellation right when supply begins. The required confirmation must be provided in a form you can retain. Merely purchasing or accepting this EULA does not replace those requirements.
Once supply has begun following the legally required consent, acknowledgement and confirmation, there is no voluntary refund for a change of mind, except as expressly agreed. This does not affect statutory remedies or applicable Merchant of Record obligations and policies.
Lemon Squeezy acts as Merchant of Record for purchases processed through it. Its applicable transaction terms govern payment, invoicing and its refund processes; this Agreement governs your Software Licence. Technical and licensing enquiries remain with fedDSP.
A refund covering the affected Licence may end the associated right to use the Software. You must then cease use and remove the relevant authorisation and copies, subject to applicable law. Acceptance and digital-supply consent records may be retained as described in the Privacy Notice.
16. Trial, Evaluation, Beta, NFR and EDU Licences
A trial begins only when you choose to start it, not automatically on download, installation or first launch. Once started, it lasts fourteen (14) consecutive days. Trial and evaluation licences are for assessment only and must not be used for commercial work or commercial deliverables.
NFR and EDU licences may be used for commercial audio productions unless specific restrictions were expressly stated and accepted when supplied. They remain personal and must not be sold, transferred or shared; any stated educational eligibility conditions apply.
Beta, preview and other pre-release licences are governed by their stated purpose, duration and additional terms. Commercial use requires express written permission unless already permitted by those terms. Special licences may have disclosed time or feature limits. Expiry or termination requires you to stop using the Software under that licence.
Lawfully created audio productions remain yours and may continue to be used and distributed after expiry or termination. This does not authorise further use of the Software, redistribution of source content or commercial use prohibited by a trial’s terms.
17. Included Content, Presets, Impulse Responses and Samples
Subject to a valid Licence, you may use included presets, processing settings, impulse responses, drum samples and other content as incorporated into your own original audio productions, including commercial productions.
You must not extract, resell, share, republish, redistribute or make that content available by itself or as part of a competing product, sample pack, preset pack, impulse-response pack, library, dataset, model-training dataset or other collection.
Delivery of mixes, stems, isolated processed tracks and individual sample hits incorporated into a genuine production is permitted. This does not permit distributing the original content as reusable assets, a substitute library or a pack, whether unchanged or merely processed to disguise that redistribution. fedDSP claims no ownership of your original productions and charges no royalty for their permitted use.
18. Third-Party Components and Trade Marks
The Software may contain third-party or open-source components governed by separate licence terms. Those terms govern the relevant component to the extent of any conflict with this Agreement.
Any notices or licence texts required to accompany redistribution of a third-party component must be supplied with the Software. Additional information is available on request.
VST is a trade mark of Steinberg Media Technologies GmbH. AAX and RTAS are trade marks of Avid Technology, Inc. Audio Units is a trade mark of Apple Inc. Other names may be trade marks of their respective owners.
19. Anti-Piracy and Enforcement
Unauthorised cracking, patching, licence bypass, uploading, public distribution, resale, sharing or making available of the Software is a serious material breach of this Agreement and may also infringe copyright or constitute a criminal offence.
If you engage in or facilitate such conduct, fedDSP may immediately suspend or terminate licences and accounts and may pursue every remedy available under contract, statute, common law or equity.
Available remedies may include urgent interim and final injunctions, website or intermediary relief where available, disclosure orders, evidence-preservation orders, delivery up, seizure or destruction of infringing copies, compensatory damages, a reasonable royalty, an account of profits, interest, additional damages for flagrant infringement, and recovery of legal, investigation, forensic, takedown and enforcement costs to the extent recoverable by law.
fedDSP may calculate and plead losses by reference to all legally available evidence and methods, including lost sales, diverted customers, price erosion, licence value, catalogue access, number and duration of downloads or subscriptions, downstream distribution, loss of upgrades, reputational and goodwill harm, investigation expense and profits attributable to the infringement.
No fixed sum in this Agreement limits fedDSP’s claim. The amount pursued will depend on the nature, scale, duration, knowledge, commercial benefit and consequences of the infringement and the remedies permitted by law.
After receiving notice of suspected infringement or anticipated proceedings, you must not knowingly destroy, conceal, alter or cause the loss of relevant Software copies, licence files, communications, transaction records, account information, logs or other potential evidence.
These rights are cumulative and survive suspension or termination.
20. Business-Customer Indemnity
This section applies only to Business Customers.
A Business Customer must indemnify fedDSP against reasonable losses, liabilities, third-party claims and recoverable professional costs directly caused by that Business Customer’s unauthorised distribution, licence sharing, circumvention, false representation of authority, infringement of fedDSP intellectual property or other deliberate material breach.
This indemnity does not apply to losses caused by fedDSP’s own breach, negligence or unlawful conduct, and remains subject to applicable law and any requirement of reasonableness.
21. Disclaimer of Warranties
Subject to mandatory law, the Software is provided “as is” and “as available”.
fedDSP does not guarantee that the Software will satisfy every requirement, be uninterrupted or error-free, remain compatible with every third-party product or environment, or produce any particular artistic, technical, commercial or regulatory result.
Descriptions and pre-contract information that form part of the contract remain binding. Demonstrations and artistic examples do not promise identical results with every source, setting or environment.
Nothing in this section affects a Consumer’s statutory rights.
22. Limitation of Liability
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate unlawful conduct, or any liability that cannot lawfully be excluded or limited.
For Consumers, fedDSP’s liability is not excluded or limited where doing so would be prohibited by the Consumer Rights Act 2015 or other mandatory law.
For Business Customers, subject to the paragraph above and to any applicable requirement of reasonableness:
(a) fedDSP will not be liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings, contracts, goodwill, opportunity or data; and
(b) fedDSP’s total aggregate liability arising from the Software or this Agreement will not exceed the total purchase price paid for the affected Software, including through the authorised Merchant of Record. For a bundle, the applicable amount is the price paid for that bundle.
You are responsible for maintaining appropriate backups of projects, sessions, presets, licences and other data.
23. Termination
fedDSP may terminate this Agreement and the affected Licence for a material breach, subject to the provisions below.
Material breaches include piracy, cracking, circumvention, unauthorised distribution, resale, licence or credential sharing, fraudulent chargeback, false representation of authority, deliberate infringement, repeated misuse or refusal to stop an ongoing breach.
For a remediable breach, fedDSP will normally provide notice and a reasonable opportunity to remedy it. Immediate termination may be justified where the breach is serious, deliberate, repeated, creates continuing harm or involves unauthorised disclosure or distribution, subject to applicable law.
On termination, you must immediately stop using the affected Software and delete or destroy all copies, installers, licence files, activation data and documentation in your possession or control, except evidence that must lawfully be preserved.
Termination does not affect accrued rights, remedies, payment obligations or liability for conduct occurring before termination.
Sections concerning ownership, restrictions, privacy, enforcement, liability, governing law and any provision intended to survive will continue after termination.
24. Export Controls and Sanctions
You must comply with applicable export-control, trade-sanctions and restricted-party laws.
You must not export, re-export, supply, transfer or make the Software available where doing so is prohibited by applicable law.
fedDSP may refuse, suspend or terminate supply where reasonably necessary to comply with legal obligations.
25. Prices, Taxes and Charges
Prices and VAT treatment are stated at checkout.
You are responsible for any applicable taxes, duties, bank charges or currency-conversion costs not expressly included in the price.
Licence, upgrade and administration charges are non-refundable except where required by law or expressly agreed by fedDSP.
26. Force Majeure
fedDSP will not be responsible for delay or failure caused by events beyond its reasonable control, including major outages, cyber incidents, failures of third-party infrastructure, payment processors or hosting providers, government action, sanctions, war, industrial disputes, natural events, supply-chain failures or changes to third-party hosts, operating systems, formats, hardware or drivers.
This section does not remove any mandatory statutory remedy.
27. Notices and Contract Changes
Notices may be sent by email to the address associated with your fedDSP account and are treated as received when delivered to the recipient’s email server, unless the sender receives a delivery-failure notice.
Informal statements do not amend this Agreement merely by being published or communicated. This does not exclude binding product descriptions, agreed terms, actionable misrepresentations or mandatory pre-contract information.
fedDSP may update this Agreement prospectively for future purchases, licences, updates or upgrades. A revised Agreement will not automatically replace the contract governing an earlier purchase unless you validly agree to it or applicable law permits the change.
Changes required by law, security or anti-fraud needs may be applied to the relevant service or licence administration to the extent reasonably necessary and lawful.
28. Governing Law and Jurisdiction
This Agreement and any non-contractual dispute or claim arising from it are governed by the law of England and Wales.
For Business Customers, the courts of England and Wales have exclusive jurisdiction.
For Consumers, this choice of law and jurisdiction does not deprive you of mandatory protections or rights to bring proceedings available under the law of the country in which you habitually reside.
29. General
This Agreement is the entire agreement concerning the Software and supersedes prior discussions and statements on the same subject, except for terms that cannot lawfully be excluded.
The English-language version controls. Translations are provided for convenience only.
fedDSP may assign or transfer its rights and obligations in connection with a merger, reorganisation, financing, sale of business or assets, or change of control, provided that Consumer rights are not reduced unlawfully.
You may not assign or transfer this Agreement except as expressly permitted in section 8.
If any provision is unlawful or unenforceable, it will be modified or severed only to the minimum extent necessary, and the remainder will continue in effect.
A delay or failure to enforce a right is not a waiver.
No person other than you and fedDSP has a right to enforce this Agreement, except a permitted successor or assignee of fedDSP.
